Terms & Conditions
Last updated: 14 October 2026
About these terms
These terms govern the drone survey, inspection, aerial production, precision agriculture and training services provided by Dragonfly Solutions Group Inc., trading as Dragonfly Drones and Geospatial Solutions ("Dragonfly"). Where a signed quotation or contract says something different, that document takes precedence.
Scope and how a contract is formed
Each engagement is defined by a written quotation setting out the scope, deliverables, schedule and price. A contract is formed when you accept the quotation in writing or instruct us to proceed.
Quotations and prices
Quotations are valid for the period stated on them. A price may change if the scope, site, access, schedule or deliverables change after acceptance; we will confirm any change in writing before proceeding.
Payment
Payment terms, including any deposit, are set out in the quotation. Invoices are payable within the period stated on the invoice.
Weather and operational delay
Drone operations depend on safe weather and site conditions. Where our pilots judge conditions unsafe - including rain, high wind, lightning or poor visibility - the flight will be postponed. Safety decisions on the day rest with the pilot in command.
A postponement for weather is not a breach of contract by either party. We will reschedule at the earliest suitable date. How the cost of a stood-down crew is handled is set out in the quotation.
Cancellation and postponement
If you cancel or postpone a booking, any charges that apply are set out in the quotation. Work already delivered and costs already incurred remain payable.
Site access, client obligations and permits
You are responsible for providing safe access to the site, site inductions, any permit-to-work, and information about hazards we need to know. We work to your site HSE requirements and will not fly where it is unsafe to do so.
Regulatory approvals
We obtain the Guyana Civil Aviation Authority approvals needed for each operation. If an approval is refused or withdrawn for reasons outside our control, we will propose an alternative where one exists; if none is possible, the affected part of the work will be cancelled and any payment for undelivered work refunded, less costs already reasonably incurred.
Data ownership and usage rights
On payment in full, you own the deliverables specified in the quotation. Raw data and imagery captured during the work are retained by Dragonfly unless the quotation states otherwise.
We will not use imagery of your site in our own marketing without your written permission. For aerial production, usage rights for footage - who may use it, where and for how long - are agreed in the quotation.
Data retention and handover
Deliverables are supplied in the formats agreed in the quotation. We retain project data for the period stated in the quotation, after which it is securely deleted unless you ask us to keep it longer.
Liability and insurance
Dragonfly operations are fully insured. Our liability under any engagement is limited as set out in the quotation. Nothing in these terms limits liability that cannot be limited under Guyanese law.
Force majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, including severe weather, natural disasters, government action or restrictions on airspace.
Governing law
These terms are governed by the laws of Guyana, and the courts of Guyana have jurisdiction over any dispute.
